An arrangement in which one party (the originator) sells a portfolio of high-quality assets, such as house mortgages, to a special-purpose vehicle (the issuer), who issues loan notes to finance the purchase. The arrangement may be a form of off-balance-sheet finance and now falls under the regulations of Financial Reporting Standard 5, Reporting the Substance of Transactions.
